the margin and the margin ratchet applicable to the Term Facility and the Revolving Facility and the commitment fee and utilization fee applicable to the Revolving Facility were reduced; and

The utilization fee is payable every three months in arrears and, if any lender's commitment is cancelled, on the date of cancellation of such commitment.
